Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the accounting platform and related services provided by Grain Ledger Company (“Grain Ledger,” “we,” “us,” or “our”). By creating an account or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Services. By accessing or using the Services, you represent and warrant that you meet these requirements.
2. Your Account
You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access or security breach. We strongly recommend the use of multi-factor authentication (MFA) where available.
We may suspend or terminate an account that violates these Terms, poses a security risk or otherwise threatens the integrity of the Services.
3. Use of the Services
You may use the Services only for lawful business or personal accounting purposes. You agree that you will not:
- Use the Services in a manner that infringes intellectual property, privacy or other rights
- Attempt to access data or systems to which you do not have authorization
- Reverse engineer, decompile or modify the platform
- Upload malware or harmful code or engage in automated data scraping without permission
- Interfere with the performance, security or integrity of the Services
No Professional Advice: Grain Ledger provides software for financial record-keeping and reporting. We do not provide accounting, tax, legal, or investment advice. Use of the Services does not create a fiduciary relationship between you and Grain Ledger. You should consult with a qualified professional for specific advice related to your organization's finances or tax obligations.
4. Third Party Integrations
4.1 Plaid Integration for Bank Connections
When you link a financial account, you authorize Grain Ledger and Plaid to access your financial data in a read only capacity to provide the Services. Plaid’s handling of your information is governed by Plaid’s privacy policy. You acknowledge that we do not control Plaid’s policies or practices.
4.2 Other Integrations
You may choose to integrate optional third party tools such as Stripe or Planning Center. Data retrieved from these integrations is used only to fulfill accounting functions you request.
You are responsible for ensuring that your use of third party integrations complies with the terms, policies and applicable laws governing those services.
5. Data and Privacy
Your use of the Services is governed by our Privacy Policy, which describes how we collect, use and protect information. By using the Services, you consent to our handling of data in accordance with that policy.
6. Fees and Payments
If paid subscription tiers or additional features are offered, you agree to pay all associated fees based on the pricing presented at the time of purchase. Unless required by law, fees are non refundable.
We may revise pricing or introduce new fees with prior notice. Continued use of the Services after changes become effective constitutes acceptance of the updated pricing.
7. Intellectual Property
All content, software, trademarks and materials provided through the Services are owned by Grain Ledger or its licensors. We grant you a limited, non transferable, non exclusive license to use the Services for internal business purposes.
You may not copy, distribute, adapt or create derivative works of the platform except where permitted by law.
8. User Content
You retain ownership of your accounting data, financial records and all materials you upload. By using the Services, you grant us a limited license to store, process and display your content solely to provide the functionality you request.
You represent that you have the rights necessary to upload and use such content within the Services.
9. Service Availability
We aim to maintain reliable service but do not guarantee uninterrupted or error free access. Maintenance, outages or unforeseen technical issues may affect availability. We are not responsible for delays or failures caused by events beyond our control.
10. Termination and Data Export
You may discontinue use of the Services at any time. We may suspend or terminate access if:
- You violate these Terms
- Your account presents security or operational risks
- We are required to act by law or by a court
- You fail to pay applicable fees
Data Export Grace Period: Upon termination of your account, you will have a period of 30 days to export your accounting data in a supported format (e.g., CSV or JSON). After this 30-day period, your access to the platform will be disabled, and PII will be deleted or anonymized.
Regulatory Retention: As specified in our Privacy Policy, certain financial transaction records may be retained in an archived state for up to seven years to comply with tax and audit regulations.
11. Disclaimers
The Services are provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including warranties of accuracy, fitness for a particular purpose and non-infringement.
Responsibility for Accuracy: You are solely responsible for reviewing and verifying the accuracy of all accounting outputs, financial statements, and tax-related filings (including but not limited to 1099s and contribution statements) generated through the Services. Grain Ledger is not responsible for errors in financial reporting, tax penalties, or audit findings resulting from incorrect data entry or reliance on automated outputs.
12. Limitation of Liability
To the fullest extent permitted by law, Grain Ledger is not liable for indirect, incidental, special, consequential or punitive damages. This includes loss of profits, loss of data and business interruption, even if we were advised of the possibility of such damages.
Our total liability for any claim arising from or related to the Services will not exceed the total amount you paid to us during the twelve month period preceding the claim, or one hundred dollars if no fees were paid.
13. Indemnification
You agree to indemnify, defend and hold harmless Grain Ledger from any claims, damages, losses or expenses arising from:
- Your use of the Services
- Your content
- Your breach of these Terms
- Your interactions with or use of third party integrations
14. Changes to the Services or Terms
We may modify the Services or update these Terms at any time. Material changes will be communicated. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Tennessee without regard to conflict of law principles. Any disputes will be resolved exclusively in state or federal courts located in Nashville, Tennessee. You consent to the jurisdiction of those courts.
